These Terms of Service ("Terms") form a legally binding agreement between you and LiquidityAI Pty Ltd (ABN 53 521 342 890) ("LiquidityAI", "we", "us", or "our"). By accessing or using our websites, applications, dashboards, APIs, trading bots, data services, or any related offering (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms and all policies referenced herein, including our Privacy Policy and Risk Disclosure Policy. If you do not agree, do not use the Services.

1. Introduction and Scope

LiquidityAI provides software and infrastructure that enable users to design, test, automate, and observe cryptocurrency trading strategies across supported third-party exchanges. We are a software and analytics provider. We are not a broker, dealer, investment adviser, custodian, exchange, or fund manager.

These Terms govern your access to and use of the Services, including our websites, APIs, SDKs, trading automation agents ("Bots"), analytics dashboards, data feeds, documentation, and any beta, trial, or pre-release features. Certain features may be subject to additional terms (e.g., API License, Marketplace Policy). If there is a conflict, the more specific terms govern for that feature.

Information provided through the Services is for informational and educational purposes only. Nothing herein constitutes financial, investment, legal, accounting, tax, or other professional advice. Not all Services are available in all jurisdictions; we may restrict or disable features without notice to comply with applicable laws.

2. Eligibility and User Representations

  • You are at least 18 years old (or the age of majority in your jurisdiction) and have legal capacity to contract.
  • You are not located in, a citizen of, or a resident of any jurisdiction where use of the Services is prohibited.
  • You are not listed on any sanctions or restricted party list (e.g., UN, OFAC, DFAT, UK HMT).
  • Your accounts have not previously been suspended or terminated by us for breach or abuse.
  • You will comply with all applicable laws, regulations, and exchange policies in connection with your use.

We reserve the right to refuse or terminate service to any individual or entity at our discretion.

3. Nature of Services; No Custody or Execution

LiquidityAI provides AI-powered tooling, algorithms, and analytics to assist you in designing and automating strategies. We do not: (a) provide financial, investment, or legal advice; (b) operate as a broker, custodian, or fund manager; or (c) guarantee profits or protection from loss. Your trading decisions are made solely by you.

  • Software only. We do not hold user assets, take custody, or execute orders on an exchange operated by us.
  • Your exchange accounts. You must review and comply with each exchange’s own terms and API policies.
  • Backtests/paper trading. Results are illustrative and may not reflect live performance.
  • No fiduciary duty. We do not assess suitability, appropriateness, or risk for your circumstances.

4. Account Registration and Security

To access certain features, you must create an account and keep your profile details accurate and current. You agree to:

  • Provide accurate and up-to-date information;
  • Maintain the confidentiality of credentials, API keys, and tokens, and enable available multi-factor authentication;
  • Accept responsibility for all activity under your account; and
  • Notify us immediately at [email protected] of any suspected compromise.

We are not liable for losses arising from unauthorized access caused by your failure to safeguard credentials or API keys.

5. Subscription Plans, Billing, Trials, and Taxes

We offer free and paid tiers with different features and limits. Paid subscriptions renew automatically until cancelled. By subscribing, you authorize us and our processors (e.g., Stripe, PayPal) to charge your payment method for recurring fees, taxes, and any applicable overages.

  • Fees. Except where required by law, fees are non-refundable (including partial periods or downgrades).
  • Changes. We may change prices, features, or limits with reasonable notice for material changes.
  • Trials. Trials convert to paid plans unless cancelled before the trial ends.
  • Chargebacks. Initiating chargebacks may result in suspension and recovery of fees and costs.
  • Taxes. Fees are exclusive of taxes; you are responsible for all applicable taxes.

6. Third-Party Integrations and APIs

LiquidityAI integrates with external exchanges (e.g., Binance, Coinbase, KuCoin). We do not operate or control these exchanges and are not responsible for API outages, data inaccuracies, permission changes, or trading errors.

  • You authorize LiquidityAI to access exchange data and, if configured, to submit/cancel orders via APIs on your behalf.
  • Grant the minimum necessary API permissions (e.g., trade-only, no withdrawals) and rotate keys regularly.
  • Optional integrations (webhooks, storage, messaging, analytics) are provided “as is” and subject to third-party terms.

7. Risk Acknowledgements

Cryptocurrency trading is highly risky. By using the Services, you acknowledge that:

  • Digital assets are volatile; prices can rapidly change or go to zero.
  • Orders may face slippage, partial fills, rejections, duplications, or latency.
  • Exchanges, networks, or data providers may fail, fork, be hacked, or degrade.
  • Regulations and enforcement may change and affect strategies or market access.
  • Past performance (including backtests) does not guarantee future results.
  • LiquidityAI is not liable for market losses, missed trades, or API failures.

8. License and Acceptable Use

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for your internal purposes during your subscription. You may not:

  • Reverse-engineer, decompile, or attempt to derive source code (except where permitted by law);
  • Copy, modify, or create derivative works of the Services, except as expressly allowed;
  • Use the Services for unlawful, infringing, harmful, deceptive, or abusive purposes;
  • Circumvent security, rate limits, or technical restrictions;
  • Resell, sublicense, lease, or white-label the Services without our written consent;
  • Engage in market manipulation, wash trading, spoofing, or other prohibited conduct.

9. Data, Privacy, and Security

Your use of LiquidityAI is governed by our Privacy Policy. You retain ownership of your personal data. You grant us a limited license to process data (including cross-border transfers) to provide the Services and for security, analytics, support, and compliance. We may use anonymized/aggregated data for research and performance improvement without re-identification.

We implement reasonable technical and organizational measures to protect data; however, no system is completely secure. You are responsible for safeguarding your devices, networks, and API keys.

10. Intellectual Property and Feedback

All software, algorithms, trademarks, content, and materials are owned by LiquidityAI or its licensors. Except as expressly stated, no rights are granted. If you provide feedback or suggestions, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use and incorporate them without restriction.

11. User Content and Strategy Marketplace

You retain ownership of strategies, configurations, signals, and other materials you create or upload ("User Content"). You grant LiquidityAI a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and perform your User Content as necessary to provide the Services.

  • You control whether strategies are private or shared (if a marketplace/community is available).
  • You are solely responsible for your contributions and representations.
  • We may remove or restrict content that violates these Terms or applicable law.

12. Disclaimers of Warranties

The Services are provided "as is" and "as available", without warranties of any kind. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, accuracy, and non-infringement. We do not guarantee profits, uptime, signal accuracy, or timely execution.

13. Limitation of Liability

To the fullest extent permitted by law, LiquidityAI and its affiliates, directors, officers, employees, and agents are not liable for indirect, incidental, special, exemplary, punitive, or consequential damages (including lost profits, lost data, loss of goodwill, trading losses, or business interruption), even if advised of the possibility.

To the extent permitted by law, our aggregate liability for all claims related to the Services in any six-month period shall not exceed the fees actually paid by you to LiquidityAI for the Services during that period. Some jurisdictions do not allow certain limitations; in such cases, the limitations apply to the maximum extent permitted.

14. Indemnification

You agree to defend, indemnify, and hold harmless LiquidityAI and its affiliates, officers, directors, employees, and agents from and against all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms or applicable law; (c) your User Content; or (d) your interactions with exchanges or third-party integrations.

15. Term, Suspension, and Termination

These Terms commence upon your first use of the Services and continue until terminated. We may suspend or restrict access immediately if we reasonably believe you violated these Terms, present a security or legal risk, or if required by law. You may terminate at any time via account settings. Termination does not entitle you to refunds unless required by law.

Upon termination, your right to use the Services ceases. Sections expressly or by nature intended to survive shall do so, including but not limited to: 5, 7, 9–16, 18–21, 25–29.

16. Governing Law, Venue, and Dispute Resolution

These Terms are governed by the laws of New South Wales, Australia, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the courts located in Sydney, NSW, for any disputes not subject to alternative resolution.

Before filing a claim, you agree to first contact us at [email protected] and attempt to resolve the dispute informally within 30 days. If both parties agree in writing, disputes may be resolved by binding arbitration in Sydney, NSW, on an individual basis. Class actions are waived to the extent permitted by law.

17. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including acts of God, natural disasters, labor disputes, acts of government, war, terrorism, internet or power outages, system failures, cyberattacks, third-party service disruptions, or regulatory actions.

18. Amendments and Notices

We may update these Terms or policies by posting revised versions with a new "Last updated" date. Continued use after posting constitutes acceptance. You consent to receive all communications electronically (e.g., email, in-app notices, website postings). Legal notices must be sent to [email protected] with "Legal Notice" in the subject and a copy to our postal address.

19. Service-Specific Terms (APIs, Bots, Data)

  • API Keys & Security. API keys are confidential and non-transferable; you are responsible for all use.
  • Rate Limits. Exceeding limits may result in throttling or suspension.
  • Attribution. If you display or redistribute data sourced via our API, you must include required attributions.
  • Derivative Works. You may use API outputs to power your applications, subject to third-party data license restrictions.
  • Bot Configurations. You are fully responsible for parameters (assets, budgets, leverage, order types, stops, take-profit, cooldowns).
  • Safeguards. Use exchange-side controls (max position sizes, IP whitelists, trade-only permissions) and test via paper trading first.
  • Data Services. Market data may be delayed, incomplete, or inaccurate; backtesting datasets may contain gaps or biases.

20. Confidentiality

We will not disclose your non-public strategy logic, API keys, or account details except to provide the Services, comply with law, or prevent harm/fraud. You will not disclose non-public information about the Services, performance, security, or pricing, except with our prior written consent.

21. Service Access; Hardware and Network

You are responsible for providing compatible hardware, software, and network connectivity, maintaining updated browsers/SDKs, and securing any optional self-hosted agents. Where supported, we strongly recommend IP whitelisting for exchange API keys.

22. Beta Features, Trials, and Pre-Release Software

Beta features may contain defects, be unstable, and be discontinued at any time. They are provided "as is" and may be subject to confidentiality obligations. Beta features are excluded from any uptime or support commitments.

23. Support; Status; Incident Response

Support availability may vary by plan. You authorize us to access relevant logs or metadata to investigate incidents. We may publish service status or incident updates. We do not provide an emergency trading desk; you must maintain your own manual overrides at exchanges.

24. Export Controls and International Use

You must comply with all applicable export control and sanctions laws and may not use the Services in prohibited jurisdictions. By using the Services, you consent to processing and storage in countries that may have different data protection rules.

25. Regulatory and Consumer Law

Where required, we may implement KYC/AML/CTF procedures. Access may be limited pending verification. Nothing in these Terms excludes or limits non-excludable statutory guarantees under the Australian Consumer Law or similar laws. Where permitted, our liability is limited to re-supplying the Services or paying the cost of having the Services re-supplied.

26. Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.

27. Entire Agreement; Severability; Waiver; Interpretation; Survival

  • Entire Agreement. These Terms and referenced policies constitute the entire agreement regarding the Services.
  • Severability. If any provision is held invalid, the remaining provisions remain in full force.
  • No Waiver. Our failure to enforce any right or provision is not a waiver.
  • Headings. Headings are for convenience only. The English version controls.
  • Survival. Sections intended to survive termination do so as stated herein.

28. Country-Specific Disclosures (High-Level)

  • Australia. Nothing excludes, restricts, or modifies the consumer guarantees under the Competition and Consumer Act 2010 (Cth).
  • EU/UK. If you are a consumer, you may have statutory rights under local law that cannot be waived.
  • US. Some states do not allow certain disclaimers or limitations; in such states, limitations apply to the maximum extent permitted.
